LARRY O’BRIEN TO REMAIN ON CALIAN’S BOARD OF DIRECTORS
Kanata, Ontario – December 11, 2007: - Calian Technologies Ltd. (TSX: CTY) today announced that in a matter unrelated to the Company, one of its directors, Mr. Larry O'Brien, has been charged with two counts under the Criminal Code concerning allegations surrounding his mayoralty candidacy in the summer of 2006.
The first charge alleges that Mr. O'Brien pretended to have influence with the Government of Canada or with a minister of the government when he allegedly made an offer to another candidate, contrary to Sec. 121 (1) (d) of the Criminal Code. The second charge alleges that Mr. O'Brien solicited, recommended or negotiated an appointment for that candidate contrary to Sec. 125 (b) of the Criminal Code. The allegations have not been proven in court and Mr. O’Brien has informed the Company that he intends to vigorously defend against the allegations.
“Mr. O’Brien has been a valuable member of the Company’s board since its inception. Subject to TSX regulatory input and Mr. O’Brien having sufficient time to devote to the Company’s affairs, the board of directors has concluded that until the issue is resolved through the legal system, Mr. O’Brien will continue to have a positive impact on the Company and therefore his departure from the board is considered unwarranted” stated Kenneth Loeb, Chairman of the Board.
In addition to Mr. O’Brien, the Board is comprised of Senator David Tkachuk, Major Gen. (Ret’d) C. William Hewson, Mr. Richard A. Vickers Chief Operating Officer of Borden Ladner Gervais LLP, Mr. Kenneth J. Loeb Chief Executive Officer of Capital Box Limited, Mr. Paul Cellucci former US Ambassador to Canada and Mr. Ray Basler CEO of the Company.
The Company has also informed TSX regulatory authorities and will continue to abide by their rules governing such matters.
